Responsibilities:The selected candidate will play a crucial role in supporting the Project Development and Asset Management teams. Responsibilities include:
Drafting, negotiating, and advising on a diverse array of agreements pertinent to the business's operations, such as confidentiality agreements, supplier terms and conditions, consulting services agreements, leases, land option agreements, offer letters, membership interest purchase agreements, credit agreements, tax credit purchase and sale agreements, engineering, procurement, and construction contracts, interconnection agreements, offtake contracts, ISDAs, and more.
Offering guidance on permitting, environmental, regulatory, and licensing issues across local, state, and federal levels.
Forming project and corporate entities, preparing board and shareholder resolutions, and other documentation related to entity formation.
Managing interactions with external counsel, overseeing legal expenses, and maintaining positive relations with external legal partners.
Qualifications:The ideal candidate will be an attorney with 2-3 years of relevant experience, possessing strong corporate and commercial expertise and/or familiarity with the power sector, gained through in-house or law firm roles. Required qualifications include:
Exceptional drafting and negotiating capabilities, with the ability to communicate clearly and succinctly.
A proactive and collaborative approach to working with project teams, addressing matters promptly, and raising important issues as needed.
Proven experience in complex commercial and corporate transactions, with a preference for those with secured finance and/or M&A background.
The ability to engage confidently with senior management on all aspects of assigned tasks.
Knowledge of project financing, particularly in power project financing, M&A, real estate, or federal/state siting and permitting laws is beneficial.
Experience in the US ISO/RTO power markets is considered a plus.
A willingness to work beyond existing areas of expertise and a motivation to expand legal skill sets.
